Wendy's has unanimously rejected an unsolicited $7.35-per-share cash acquisition proposal from an investor group led by Trian Fund Management, stating the offer substantially undervalues the company and its long-term growth potential under its newly announced Dave's Way strategic plan.
The proposal was submitted by Trian Partners, Flynn Group, BlueFive Capital and Sixth Street Partners to acquire all outstanding Wendy's shares not already owned by the group, according to a press release.
Following a review with independent financial and legal advisors, a committee of independent directors determined the offer did not reflect the value it expects the company to create through execution of Dave's Way, Wendy's CEO Bob Wright reiterated in the company's Q3 earnings call. He said no further comments would be made in regard to the potential takeover and its rejection.
"The Independent Committee thoroughly evaluated this proposal and unanimously concluded that it substantially undervalues Wendy's standalone prospects and long-term earnings potential," Art Winkleblack, chairman of the board and a member of the Independent Committee, said in the release. He cited confidence in CEO Bob Wright and his leadership team's ability to execute the turnaround strategy.
Wendy's also adopted a limited-duration shareholder rights plan, effective immediately and scheduled to expire Nov. 3, 2027. The plan is designed to protect shareholders from an acquisition that does not provide an appropriate premium and give the board and Independent Committee time to evaluate potential takeover offers.
Under the plan, rights will become exercisable if an individual or group acquires 15% or more of Wendy's outstanding common stock without board or committee approval. The plan applies equally to current and future shareholders and does not prevent the board from considering offers it determines are fair and in shareholders' best interests.
Wendy's said the board also considered that the investor group rejected the company's offer to enter into a customary standstill agreement.
The company said its focus remains on executing Dave's Way, which is designed to grow customer traffic and market share while improving restaurant profitability through five strategic pillars: menu and food quality, branding and marketing, operational excellence, digital experience and restaurant growth. Wendy's said early work is underway, including strengthening its leadership team, aligning its franchise system and establishing a Strategic Activation Office to accelerate implementation.
